Terms of Use

1. Description of Services

Eye Proctor provides AI proctoring services including: Event-based monitoring through webcam snapshots, audio recordings, browser activity tracking, and facial recognition; AI-powered detection of potential violations; proctoring reports and analytics; hosted platform and self-hosted deployment options; enterprise subscriptions and pay-as-you-go credit purchasing.


2. Eligibility & Account Security

Services are for educational institutions, organizations, and authorized candidates. You must provide accurate account information and maintain credential confidentiality. Notify us immediately of unauthorized access. We may suspend/terminate accounts for violations.


3. Subscription & Payment

Enterprise Subscriptions: Annual contracts with per-candidate pricing based on projected volume. Auto-renewing unless canceled with 30 days' notice. Pricing may adjust at renewal based on actual usage.

Pay-As-You-Go: Purchase credits for individual assessments. Credits are non-refundable and non-expiring. All fees are non-refundable except as required by law. We may modify pricing with 60 days' notice.


4. User Responsibilities

You agree to: comply with all laws and assessment guidelines; provide accurate information including candidate volume estimates; respect intellectual property rights. You agree NOT to: circumvent security features; use bots or automated systems; reverse engineer the platform; upload malicious code; share credentials; violate privacy rights; misrepresent candidate volumes; or damage the services.


5. Intellectual Property

All Eye Proctor content, features, software, and algorithms are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the services for their intended purpose only.


6. Data Ownership

Hosted Platform: Data retained for 1 year; deletable on request. Institutions retain ownership of assessment results.

Self-Hosted: All data remains on institution's infrastructure. Eye Proctor has zero access. Institutions determine retention and have full control.


7. Disclaimers & Limitations

SERVICES PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Our AI proctoring assists with assessment integrity but is not infallible. We don't guarantee all violations will be detected or that flagged events are actual violations. Final decisions remain with user. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY CAPPED AT FEES PAID IN THE PRIOR 12 MONTHS.


8. Indemnification

You agree to indemnify and hold harmless Eye Proctor, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising from: your use or misuse of services; violation of these Terms; violation of third-party rights; or content you submit.


9. Termination

You may terminate anytime by contacting hello@eyeproctor.com (no refunds for prepaid periods). We may suspend/terminate immediately for violations or illegal activity. Upon termination, all licenses cease but disclaimers and liability limits survive.


10. Modifications

We may modify services or Terms anytime. Material changes will be posted with updated date. Continued use after changes constitutes acceptance.


11. Governing Law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of English and Welsh courts. We encourage informal resolution before formal proceedings.


12. General Provisions

These Terms and our Privacy Policy constitute the entire agreement. Invalid provisions don't affect the remainder. Non-enforcement doesn't constitute waiver. You can't assign without our consent; we may assign freely. Force majeure applies for circumstances beyond our control.

Privacy Policy

1. Information We Collect

Hosted Platform: Event-triggered webcam snapshots, audio recordings, browser/tab activity, facial recognition data (via AWS Rekognition), and device information.

Self-Hosted Deployments: We have zero access to proctoring session data. All data remains on the institution's servers under their control.

Account Information: Organization details, administrator names/emails, billing information, and subscription data. We also collect technical usage information including IP addresses, log files, and cookies.


2. How We Use Your Information

We use collected information to: provide proctoring services and generate reports; verify candidate identity through facial comparison; process payments; improve our AI detection algorithms and platform performance; send service communications; and comply with legal obligations.


3. Data Retention

Hosted Platform: Proctoring data retained for 1 year from assessment date unless earlier deletion is requested. Contact hello@eyeproctor.com for deletion requests.

Self-Hosted: Institutions control retention periods. We have no access to this data.


4. Data Sharing

We do not sell, rent, or trade your personal information. We share data only with: Institutions (to fulfill contractual obligations); AWS (for facial recognition processing); legal authorities (when required by law); and acquiring entities in business transfers (subject to same protections).


5. International Data Transfers

Eye Proctor operates globally and may process data in the UK, EEA, and other jurisdictions. We ensure appropriate safeguards including Standard Contractual Clauses approved by the UK ICO and European Commission.


6. Your Rights

You have the right to: access your personal information; request correction of inaccurate data; request deletion (subject to legal exceptions); restrict processing; request data portability; object to processing based on legitimate interests; and withdraw consent where applicable. To exercise these rights, contact hello@eyeproctor.com. We'll respond within one month. UK/EEA users may lodge complaints with the Information Commissioner's Office or local supervisory authority.


7. Security

We implement encryption in transit and at rest, access controls, regular security assessments, and staff training to protect your information. However, no internet transmission is 100% secure, and we cannot guarantee absolute security.


8. Third-Party Services

We use Amazon Web Services (AWS) for facial recognition. AWS's data use is governed by their Privacy Notice at https://aws.amazon.com/privacy/. We do not control AWS's practices.


9. Children's Privacy

When minors use our services, we rely on educational institutions to obtain appropriate parental consent as required by COPPA (US) and similar regulations in other jurisdictions.


10. GDPR Legal Basis

For UK/EEA users, we process data under: contractual necessity (to provide proctoring services); legitimate interests (maintaining assessment integrity, improving services, preventing fraud); legal obligation (compliance requirements); and consent (for biometric data like facial recognition).


11. Policy Changes

We may update this Privacy Policy to reflect changes in our practices, technology, or legal requirements. Material changes will be posted on our website with an updated date. Continued use constitutes acceptance.
